The Vorcrux Terms & Conditions

Greetings, We’re happy to have you! This document, our User Agreement (“USER AGREEMENT”,“Agreement”), forms a contract between you, the user (“You”,”Your”“you”,”your”,“Player”,”Story Guide”) and Vorcux, Inc. (“Vorcrux”,). This Agreement and Terms (“Terms”) governs your use of this website, www.midnightinvaia.com (“Site”,”Midnight in Vaia”). By using this Site, you agree to be bound by these Terms. Vorcrux, Inc. and its affiliates (“We”,“we”,”us””Our”,”our”) reserve the right to revise these Terms at any time. Each time you visit the Site, you are accepting the Terms in effect at that time. Please review these Terms from time to time as we may update them periodically.

This Site is not intended for children under the age of 18. You hereby affirm that you are an adult of legal age in your country and state of residence. If you are under the legal age, your parent or guardian must consent to these Terms both directly and on your behalf.

USER AGREEMENT

Your Account

While some elements of the Site may be accessible to the public, certain elements require that you create an account (“Account”). To register an Account and access certain services through the Site, you may be asked to provide your date of birth, name, email address, and other personal information. We will use and protect personal information subject to our Privacy Policy.

You are fully responsible for maintaining the confidentiality and security of your Account password and access information. You may not share your Account or access information. Two or more people may not use the same Account or access the Site as the same user. You agree to notify us immediately if you suspect any unauthorized use of your Account. You further agree that you are entirely liable for all activities conducted through your Account, and are responsible for ensuring that you or your child is aware of, understands, and complies with these Terms and the Policies.

Use of the Site is void where prohibited. By registering an Account and accessing the Site, you represent and warrant that: (i) all Account data that you submit is truthful and accurate; (ii) you are the age of consent or older in your country/region, or have your parent or guardian's consent; (iii) your use of the Site will not violate any applicable law or regulation, these Terms; and (iv) you are not an individual specifically banned or prohibited by us from registering an Account or using the Site.

You have no property or ownership rights or interest whatsoever in your Account. You understand and agree that Vorcrux and our representatives will have access to your Account and are able to track your use and engagement with the Site. You authorize us and our representatives to review such information as reasonably necessary to investigate complaints, to provide you with services, and for other purposes as set forth in these Terms, our Privacy Policy, and other applicable Policies.

Ownership of Content and Grant of Conditional License

All right, title, and interest in the Site and in all materials or services provided through the Site (including all data, text, templates, forms, designs, pages, print screens, audio and video clips, images, artwork, photographs, source code, or software that resides or is viewable or otherwise discoverable on or through the Site) (the “Content”) belongs to us or to our valid third party licensors.

Except as expressly provided below, nothing contained in this Site shall be construed as conferring any license or right, expressly, by implication, by estoppel or otherwise, under any of our intellectual property rights, or under any third party’s intellectual property rights, and no part of the Site or Content may be reproduced, republished, copied, transmitted, or distributed in any form or by any means, except in accordance with applicable Policies or otherwise with our prior written consent.

Upon your acceptance of these Terms, we hereby grant you a nonexclusive, nontransferable, limited, conditional license to view, use, access, and engage with the Site and Content only for your personal use and only as permitted by these Terms and applicable Policies. As a condition of this license, and by visiting or using the Site, you agree that you will comply with all applicable laws, rules, and regulations, including our Policies, and you additionally agree that you shall not:

  • Use the Site or Content for any illegal purpose or in any manner inconsistent with these Terms;

  • Use the Site or Content to violate or infringe any of our or any third party’s proprietary or intellectual property rights;

  • Use the Site or Content for purposes of training artificial intelligence technologies to generate text, art, or other works, including technologies that are capable of generating works in the same style or genre as the Site, Content, or other Vorcrux products and services;

  • Express or imply that any statements you make are endorsed by us, without our prior written consent;

  • Harvest or collect information about Site users;

  • Remove any copyright, trademark, or other proprietary rights notices contained on the Site or Content;

  • Use the Site to engage in or endorse any cheating or hacking, including by creating, offering, promoting, distributing, or making available any cheats, bots, hacks, or device, software, code, or program that grants or is designed to grant any user an advantage over others not using such methods, or impersonating another user or accessing another user’s account without their permission;

  • Submit any software or other materials that contain any viruses, malware, spyware, or other programs or code of a malicious or destructive nature;

  • Reproduce, modify, display, publicly perform, distribute, or create derivative works of the Site or the Content, unless otherwise authorized by our Policies;

  • Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Content, unless otherwise authorized by our Policies;

  • Take any action that imposes or may impose (in our sole discretion) an unreasonable or disproportionately large load on our infrastructure;

  • Attempt to conceal your identity by using multiple Internet Protocol addresses, email addresses, or other unauthorized means to conduct transactions on the Site;

  • Decode, decrypt, modify, or reverse engineer any underlying algorithms or barcodes used on or in production of the Content or the Site; or

  • Use the Site or the Content in an attempt to, or in conjunction with, any device, program or service designed to circumvent any technological measure that effectively controls access to, or the rights in, the Site and/or Content in any way including, without limitation, by manual or automatic device or process, for any purpose.

This license is expressly conditioned on your agreement to comply with, and your actual compliance with, each of the provisions described in these Terms. This license exists only so long as you strictly comply with each of the provisions described herein. Any use of the Site or its Content by you or anyone acting on your behalf that does not comply with these Terms exceeds the scope of the license granted to you herein, constitutes unauthorized reproduction, distribution, display, or creation of unauthorized derivative versions of the Site and Content, and infringes our copyrights, trademarks, patents and other rights in the Site and Content.

SUBSCRIPTION

I. Subscription Offerings: Some items, products, and services are only available as part of a subscription plan with recurring payments (“Subscription”). Subscriptions will automatically renew, and payment is required before each renewal. You agree to pay in advance for these services. We reserve the right to change Subscription terms with at least 30 days’ notice. You'll need to agree to these new terms in order to maintain your Subscription. Special terms may apply to promotional Subscriptions, and we'll let you know what those terms are when you sign up.

Using a Subscription: Whether a pre-paid plan, a gift Subscription, or a monthly plan, you allow us to charge your chosen payment method at the start of each payment period. We need to confirm your payment details are correct and the account is in good standing before starting or continuing your access to the Subscription.

If there are any extra fees associated with your Subscription purchase, such as early termination fees, we promise to always give you clear and upfront information about them. You agree that we may charge these additional fees to your payment method if they are disclosed to you at the time of your purchase.

II. Subscription Payment: All transactions are in United States Dollars unless we make other currencies available. Be aware that currency conversion charges may apply if you're paying in a currency other than your own and your bank may impose additional transaction fees. We accept a variety of payment methods, including major credit cards, certain debit cards, PayPal, and others that we might introduce on our site. Choosing a payment method means you're agreeing to its terms. When you order through Midnight in Vaia, you're giving us or our payment processor permission to charge your account for the purchase amount.

Sometimes, our payment partners might need some personal details from you, like your government- issued ID, name, address, and birthdate, to process your payment and meet legal requirements. They might also contact you if there's an issue with a payment.

III. Billing Information: It's important to keep your billing information up to date. If you move or get a new card, make sure you update your details.

IV. Notification of Changes to Subscriptions: We reserve the right to edit our Subscription prices and tiers. If we do, we'll inform you at least 30 days in advance either through your contact information or an announcement on the Midnight in Vaia website (or both). By continuing to use Services after the change, you agree to the new price. If you don’t want to continue at the new price, you can cancel your Subscription before the announced date.

V. Suspension for Non-Payment: If your payment method fails repeatedly or your bank initiates a payment reversal on a Subscription charge, we reserve the right to suspend or terminate your access to the Subscription without notice.

VI. Cancellation: You can cancel your Subscription at any time in your account settings.

VII. No Refunds: At this time, we are not able to offer refunds or credits for unused Subscription time. We reserve the right to change this policy moving forward and will notify you in advance of any such change.

VIII. Free Trial Terms: When you sign up for a Free Trial, you receive full access to our service throughout the trial period without any initial charges. We require your payment details at signup to facilitate payment after the trial ends. Your Free Trial begins immediately upon agreeing to the terms and providing your payment information. Unless you cancel during the trial period using the menu in your account settings, your Free Trial will automatically convert into a paid, renewing Subscription at the tier level you have chosen at the signup. If you cancel your Subscription after the Free Trial period has ended, your Subscription will terminate at the end of the first renewal period.

IX. Subscription Termination by Us: As we continue to grow, there might be changes to our Subscription plans, or to the continuation of certain offerings. We reserve the right to discontinue or modify any part of our Service or Subscription options at any time, in our discretion.

If we decide to discontinue the Subscription plan you are part of, we will notify you at least 30 days prior.

If we, in our discretion, determine that your activity on our platform is in violation of our Terms or any applicable laws, involves fraudulent use of our Services, or harms or has the potential to harm Vorcrux or its users, we reserve the right to terminate your Subscription without notice.
